# Cap table

> Record shareholders, share classes and funding rounds, and understand where the Raised figure comes from

The cap table records who owns your company and how each funding round changed that. Everything on the page is entered by hand: Caplia does not read your ownership figures out of any file you upload.

Open **Cap Table** in the left sidebar, or go straight to `/dashboard/cap-table`. On a phone the sidebar collapses, so reach it from the **More** menu. The **Fundraising Status** card on your [dashboard](/founder-portal/getting-started) also links here, and its **Create Round** button opens the new-round dialog directly.

At the top of the page are three totals, **Total Shares**, **Shareholders** and **Share Classes**, followed by three sections: **Current Ownership**, **Share Classes** and **Funding Rounds**.

## What this page does not do

Read this first if something is not appearing where you expect it.

* Uploading a cap table spreadsheet to your [data room](/founder-portal/data-room), including using **Set as Cap Table** on a file there, does *not* populate this page. There is no cap table import or file parser. The data room copy is a document for investors to read; this page is a structured record you type in.
* Adding a shareholder does *not* create an investor in your [Deal Pipeline](/founder-portal/pipeline), and adding a pipeline investor does not create a shareholder. The two are separate records and Caplia never matches them by name.
* Adding a shareholder does *not* change the **Raised** figure on any round. See [how the Raised figure works](#how-the-raised-figure-works).

## Building your cap table

  <Step title="Check your share classes">
    Caplia creates a default **Ordinary Shares** class the first time you open the page. If you have more than one class, click **Add Share Class** and set the **Class Name**, a **Type** of **Ordinary** or **Preference**, **Votes Per Share** (0, 1, 10, or a custom value between 2 and 50) and a **Liquidation Preference** such as `1x non-participating`.

  <Step title="Add your shareholders">
    In **Current Ownership**, click **Add Shareholder**. Enter a **Name**, pick a **Type** of **Founder**, **Investor**, **Employee** or **Advisor**, and enter **Shares Owned** as a share count, not a percentage. **Email** and **Share Class** are optional. Ownership percentages are worked out for you as each holder's shares divided by the total across all shareholders.

  <Step title="Link supporting paperwork (optional)">
    Under **Supporting Documents (optional)**, use **Link documents...** to attach a subscription agreement or similar. Only PDFs already in your data room appear, and your pitch deck, financial model and cap table documents are excluded. Files whose name resembles the shareholder's are sorted to the top and marked **Suggested**. Linked files get a file icon beside the shareholder's name that opens a preview in the app.

  <Step title="Record your funding rounds">
    In **Funding Rounds**, click **Add Round** to log each raise, past, live or planned.

On desktop you can click the **Ownership %** column header to sort holders by stake: first click sorts high to low, second low to high, third returns to the default order.

## Recording a funding round

Click **Add Round** and fill in the dialog. **Round Type** runs from **Bootstrap** and **Friends and Family** through **Angel**, **Pre-seed**, **Seed**, **Series A** to **Series C+**, plus **Bridge**, **Growth**, **Secondary** and **Custom** for your own name. **Mechanism** is optional and covers instruments such as **Priced equity round**, **CLN (Convertible Loan Note)**, **SAFE / ASA (UK)** and **Grants / awards**.

The rest of the dialog is **Currency** (GBP, USD or EUR, used to display every amount on the round), **Status** of **Active**, **Closed** or **Planned**, **Target Amount**, **Raised Amount**, **Valuation** and a **Round Start Date**.

**Status** starts at **Active**, and while it is **Active** the dialog explains what that means underneath the field. If you pick a **Round Start Date** in the past before you have touched **Status** yourself, the status switches to **Closed** for you, on the assumption that the round is historic. Pick a status yourself and your choice is kept whatever date you then choose.

  Only one round can be **Active** at a time. If you add or edit a round and set it to **Active**, every other active round is automatically switched to **Closed**.

## How the Raised figure works

This is the single most common surprise on this page. The **Raised** column behaves differently depending on the round's status.

| **Active** | Calculated from your **Deal Pipeline**: the total of the ticket sizes of every investor currently at the **Hot**, **Term Sheet** or **Closed Won** stage. **Raised Amount** cannot be typed in while the status is **Active**: the field is locked in both the add and edit dialogs. A small chart icon sits next to the figure to show it is auto-calculated |
| **Closed** or **Planned** | Exactly the amount you type into **Raised Amount** |

Whenever **Status** is set to **Active**, the **Raised Amount** box is disabled and labelled **(Auto-calculated from pipeline)**, in both the **Add Round** and **Edit Funding Round** dialogs. To make £180,000 appear on a live round:

  The pipeline is a paid feature; the cap table is not. If your plan does not include it, opening [Deal Pipeline](/founder-portal/pipeline) shows an **Investor CRM** lock card with a **View Pricing Plans** button instead of the board, and an **Active** round's **Raised** figure can then never be filled in. Until you upgrade, record the round with a **Status** of **Closed** or **Planned** and type the amount into **Raised Amount** yourself. See [billing](/founder-portal/billing).

  <Step title="Add the investors to your pipeline">
    Open [Deal Pipeline](/founder-portal/pipeline) and click **Add Investor** for each one. A shareholder row does not put anyone in the pipeline.
  </Step>

  <Step title="Move them to a qualifying stage">
    Only **Hot**, **Term Sheet** (shown as **Terms** on the board) and **Closed Won** (shown as **Won**) count. **Cold** and **Warm** contribute nothing.
  </Step>

  <Step title="Give each one a ticket size">
    Moving an investor to **Hot** or **Terms** from inside their detail panel opens the **Investment Ticket Size** dialog: enter the amount and click **Save**. Dragging a card between board columns does not prompt you. An investor at **Hot** or **Terms** who is still missing an amount shows an **Add ticket size** prompt on their board card and in the list view. Set the amount before you move anyone to **Won**: after that the list view stops showing the prompt, and the prompt on the board card opens the **Actions** tab, which has no ticket size control on it. An investor with no ticket size adds nothing to Raised.
  </Step>

  <Step title="Check the totals">
    Back on the cap table, the round's **Raised** value now reflects the pipeline. The **Pipeline Breakdown** on the dashboard's **Fundraising Status** card splits that total by stage, showing how many investors are counted at **Closed/Won**, **Term Sheet** and **Hot** and how much each stage contributes. It shows counts and amounts, never names.

Three things worth knowing about the calculation:

* It is not scoped to the round. *Every* investor in your pipeline currently sitting at **Hot**, **Term Sheet** or **Closed Won** is counted, including ones left over from an earlier raise. Move finished investors out of those stages if you do not want them in this round's total.
* Ticket sizes are added together as plain numbers and then displayed in the round's currency. If you record tickets in mixed currencies, the total is not converted and will be wrong.
* Once the round is finished, set its status to **Closed** and type the final total into **Raised Amount**. When you switch an active round to **Closed** in the edit dialog, the field unlocks pre-filled with the auto-calculated figure, so check the value before you click **Save Changes**.

## Exporting and sharing

Two buttons sit at the top of the page.

* **Export** downloads an Excel file with three sheets: Overview, Shareholders and Share Classes. Funding rounds are *not* included in the export.
* **Copy to Data Room** generates the same spreadsheet and files it in the **Equity & Cap Table** folder of your data room, marked as shared and downloadable. Every click files a fresh entry, so copying twice on the same day leaves two entries in that folder. The file name carries the export date, so same-day entries point at the same overwritten file, while entries made on different days are genuinely different files. Delete the older ones if you do not want investors seeing them.

Separately, the **Shared with investors** switch at the top of the page controls whether approved investors who already have data room access can view your cap table inside Caplia. It is off until you turn it on, and only account admins see the switch.

## Who can edit

Editing needs the **Admin** role on your company (**Company Admin** in the invite dialog). A **Member** sees the same data but gets **View only** instead of the edit and delete controls, and none of the add buttons, **Copy to Data Room** or **Shared with investors**. **Export** stays available to everyone. Roles are changed at `/account/team`, covered in [team](/founder-portal/team).

<Tip>
  Deleting a shareholder or a funding round asks you to confirm, then offers an **Undo** action in the toast for about seven seconds; undoing a shareholder also restores the links to their documents. Deleting a shareholder never deletes anything from your data room: it only removes the links between that shareholder and the files. Deleting a share class is different: it happens immediately, with no confirmation and no undo.

## Troubleshooting

  <Accordion title="My round shows no Raised amount while I am actively raising">
    An **Active** round reads the pipeline rather than the **Raised Amount** field. If nothing qualifies, the **Raised** cell shows a dash rather than a zero. Work through the list: are the investors in [Deal Pipeline](/founder-portal/pipeline) at all, are they at **Hot**, **Term Sheet** or **Closed Won**, and does each one have a ticket size saved? The **Pipeline Breakdown** on the dashboard's **Fundraising Status** card shows how many investors are counted at each stage and what each stage contributes, so start by comparing those counts with what you expect. It does not show names: to find the specific investor, open [Deal Pipeline](/founder-portal/pipeline), switch to the list view, and look for anyone at **Hot** or **Term Sheet** still showing **Add ticket size**.

  <Accordion title="An investor is at Won but is not adding to the total">
    Moving an investor straight to **Won** does not prompt for a ticket size, and the ticket size editor in the investor's **Actions** tab only appears while they are at **Hot** or **Term Sheet**. Move them back to **Terms**, enter the amount in the **Investment Ticket Size** dialog, then move them to **Won** again.

  <Accordion title="The Raised figure is larger than my current round">
    The calculation counts every pipeline investor currently at **Hot**, **Term Sheet** or **Closed Won**, regardless of which round they belong to. Investors from a previous raise still parked in those stages are being added in. Move them elsewhere, or close the round and enter the final figure by hand.
  </Accordion>

  <Accordion title="I added shareholders but the Raised figure did not change">
    Shareholder rows never feed the **Raised** figure. They drive **Total Shares** and the ownership percentages only. Raised comes from pipeline ticket sizes for **Active** rounds and from the **Raised Amount** field for **Closed** and **Planned** ones.
  </Accordion>

  <Accordion title="I uploaded my cap table file but this page is still empty">
    Uploading a spreadsheet or PDF to the data room, including tagging it with **Set as Cap Table**, stores the file for investors to read. It does not create shareholders, share classes or rounds. There is no import feature: add the rows here by hand with **Add Shareholder** and **Add Round**. It is fine, and normal, to keep both: the structured page for Caplia, the original file in the data room for diligence.

  <Accordion title="My investors from the cap table are not in the Deal Pipeline">
    They never will be. Cap table shareholders and pipeline investors are separate records with no name matching between them. Add anyone you are still in conversation with to the pipeline yourself with **Add Investor**. Doing so is what lets their ticket size count towards an active round.
  </Accordion>

  <Accordion title="The Raised Amount field is greyed out">
    Expected behaviour whenever **Status** is **Active**, in the **Add Round** dialog as well as when you edit a round. Change **Status** to **Closed** or **Planned** and the field unlocks.
  </Accordion>

  <Accordion title="My round was saved as Closed when I wanted it Active">
    Picking a **Round Start Date** in the past sets **Status** to **Closed** for you, but only while you have not chosen a status yourself. Set **Status** back to **Active** after picking the date, or choose the status before the date.
  </Accordion>

  <Accordion title="I cannot delete a share class">
    A class still assigned to at least one shareholder cannot be deleted. Open each affected holder in **Current Ownership**, change their **Share Class**, save, then delete the class.
  </Accordion>

  <Accordion title="Ownership percentages do not add up to 100%">
    Each percentage is that holder's **Shares Owned** divided by **Total Shares**, rounded to two decimal places, so small rounding differences are normal. A percentage that looks badly wrong almost always means a share count is wrong: check for anyone entered as a percentage (for example `20`) rather than as a number of shares, and for holders you have not added yet. **Total Shares** only counts shareholders listed on this page, so unissued or option-pool shares are not in the denominator.
  </Accordion>

  <Accordion title="I cannot see the add or edit buttons">
    Your account has the **Member** role on this company, which is view-only for the cap table. Ask an admin to change your role at `/account/team`.
  </Accordion>

  <Accordion title="My export is missing the funding rounds">
    That is how the export is built: it contains only the Overview, Shareholders and Share Classes sheets. Round history stays on this page. The dashboard's **Fundraising Status** card is not a substitute: it shows only your active round and the three most recent closed ones. Include the full history separately if an investor asks for it.
